Job description
As a trusted advisor on corporate and Mamp;A matters, you will among other support the newly created Aliaxis Next division, working closely with colleagues of the division and functional departments.
As member of a team of Corporate lawyers, you will also be involved in legal reorganizations, negotiation of contracts,
The role is based in Brussels, within our Global Headquarters.
Responsibilities
- You will participate and advise on entire Mamp;A processes, from the signing of NDAs to the closing of transactions (due diligence review, draft/review of documentation and participation to the negotiations, corporate law preparatory documentation, Ramp;W insurance, closing operations, ). You may be involved in full acquisitions but also in minority stake investments;
- You will be a trusted partner in the implementation of legal reorganizations;
- In the context of Mamp;A projects or otherwise, you will prepare intercompany or third-party agreements on a variety of matters;
- You will also advise on various corporate legal matters;
- You will contribute to priorities, initiatives and activities of the legal team.
Requirements
- Master in Law and several years of proven experience in a business law firm and/or as in-house lawyer active in corporate law and Mamp;A matters;
- Fluent in English, as well as in French or Dutch;
- Excellent verbal and written communication skills, able to translate and explain complex legal questions in a pragmatic way;
- Good developed analytical skills: ability to grasp and analyze complex questions, issues or information. Be able to tackle issues and problems in a logical, step by step way, using a legal mindset/approach.
Being successful in the role will require drafting and legal negotiation skills in a dynamic and entrepreneurial technology-driven environment.
